What is a Letter of Demand in Nigeria? (And When Do You Need One)

A Letter of Demand is a formal written notice from a creditor to a debtor, demanding payment of an outstanding debt within a specified period. In Nigeria, it is one of the most important steps before taking legal action — and in many cases, it is enough to get you paid without ever going to court.

Is a Letter of Demand Legally Required in Nigeria?

For most civil debt claims, Nigerian courts expect you to have first given the debtor a reasonable opportunity to pay before suing. The Pre-Action Protocol for the Small Claims Court explicitly requires a Letter of Demand. Even in higher courts, judges look unfavourably on claimants who rushed to sue without first making a formal demand.

More practically: most debtors will pay once they receive a letter on legal letterhead — because it signals you are serious and know your rights.

What Must a Letter of Demand Contain?

A valid Nigerian Letter of Demand should include:

• Your full name and address (the creditor)
• The debtor's full name and address
• The exact amount owed, in Nigerian Naira
• How the debt arose (invoice for goods/services, loan, contract breach, etc.)
• The date the debt became due
• A clear deadline — typically 7 to 14 days
• A warning that legal action will follow if the debt is not paid
• A statement reserving all your legal rights

How Should It Be Served?

The letter should be delivered in a way that creates proof of service:

• Personal service — hand-delivered to the debtor with a witness
• Registered courier — with proof of delivery
• Email — if agreed or if the debtor has used email for all prior communications
• Process server — a licensed agent who files an affidavit of service

What Happens After 7 Days?

Three possible outcomes:

1. The debtor pays — most common. The matter is resolved.
2. The debtor responds and disputes the debt — you now have their position in writing and can assess whether to negotiate or proceed to court.
3. The debtor ignores the letter — you have grounds to file a court claim. The court will note that you gave the debtor a fair opportunity to pay.

Does the Letter Need to Be on Law Firm Letterhead?

Technically, no — you can send a Letter of Demand yourself. But letters on professional legal letterhead carry significantly more weight. Debtors are far more likely to take a letter from a law firm seriously than one they suspect was drafted informally.
